The ultimate deliverable for Insight ADVANCE is the completed delivery of Insight ADVANCE’s ADVANCElearn™ overhauled to match the new look and feel of the ADVANCE Suite, integrated on the back end with the ADVANCE Suite, and with the new feature set of ADVANCElive in a production environment, that includes the ability to schedule and conduct synchronous streamed-video trainings live to remote trainees. Trainings will be assigned as stand-alone content or as part of a training flow (outlined in APPENDIX A of the RFP document available upon request).
The start date for this project is upon fully executed contract, with a rolling delivery date beginning January 1.

By submitting a digital signature on this page, the representative of the Receiving Party agrees to the following:
1. This Agreement provides for the handling and protection of confidential and proprietary information and materials to be provided by Disclosing Party concerning Insight ADVANCE LP (IA)’s businesses to the Receiving Party. Such information and materials may include, without limitation, business and creative concepts and plans, technology plans and related strategy, treatments, drawings, renditions, outlines, marketing plans, financial data and analyses, release schedules, projections, inventions, software, customer lists, technical operations, corporate strategies, documentation and specifications (collectively, the "Confidential Information"). The Confidential Information shall be provided for the purpose of allowing the parties to evaluate and discuss a potential business arrangement or for the Receiving Party to provide services to IA (the “Transaction”), and the Receiving Party shall not use the Confidential Information in any other way or for any other purpose.
2. All Confidential Information acquired shall remain the exclusive property of the Disclosing Party. It is understood that the terms of this Agreement shall apply to all Confidential Information, whether provided in oral or written form.
3. In exchange for obtaining access to the Disclosing Party’s Confidential Information, the Receiving Party agrees to keep all such information in strict confidence for a period of three (3) years from the date of receipt, except to the extent required by law. In the event the Receiving Party is required by law to disclose Confidential Information, the Receiving Party agrees to provide notice to the Disclosing Party sufficiently in advance to permit the Disclosing Party to seek an appropriate protective order. The Receiving Party may disclose Confidential Information to its officers, employees or agents (collectively, the "Representatives") only on a need-to-know basis (it being understood that such Representatives shall be informed of the confidential nature of such information in accordance with this Agreement and shall agree to treat such information confidentially).
